These Terms of Service ("Terms") govern your access to and use of the website at tenmil.ca and the fleet maintenance platform and related services (together, the "Services") provided by Tenmil Ltd ("Tenmil," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Use of the Services

We grant you a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms. You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with their operation, reverse engineering the platform, or using the Services to violate any applicable law or the rights of others.

Subscriptions & Fees

Paid plans are billed on a per user, per month basis at the rates presented at the time of purchase, unless otherwise agreed in writing. Fees are exclusive of applicable taxes. Unless stated otherwise, subscriptions renew automatically for successive terms until cancelled. Specific pricing and plan details are set out on our pricing page or in your order.

Customer Data

You retain all rights to the data you submit to the Services ("Customer Data"). You grant us the limited rights necessary to host, process, and use Customer Data to provide and improve the Services. Our handling of personal information is described in our Privacy Policy.

Intellectual Property

The Services, including all software, content, trademarks, and other materials we provide, are owned by Tenmil or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Services.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Tenmil will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. Upon termination, the rights granted to you under these Terms will end, while provisions that by their nature should survive will remain in effect.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts located in Alberta will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
